Founding Statutes

Preamble

The tokenization of Real World Assets (RWA) has resolved critical inefficiencies in financial settlement, fractional ownership, and cross-border liquidity. However, a fundamental structural vulnerability persists at Layer 0: the absence of a standardized, legally enforceable, and cryptographically immutable framework for verifying the physical and juridical integrity of the underlying collateral.

The Prop Trust Verified Standard (PTVS) was created to bridge this gap. Born from three generations of master builders and sworn judicial expertise, PTVS establishes that physical truth must remain sovereign in the digital age.

To ensure the long-term neutrality, institutional credibility, and global interoperability of the PTVS, its governance shall be entrusted to an independent, non-commercial association constituted as a Swiss Verein under Articles 60 through 79 of the Swiss Civil Code (ZGB/CC).

These Founding Statutes establish the principles, structure, and rules of governance that shall guide the PTVS Governance Board from its inception through its formal constitution in Switzerland.

Article I — Name, Seat, and Purpose

Section 1.1 — Name

The association shall be known as the PTVS Governance Board (hereinafter “the Board” or “the Verein”).

Section 1.2 — Seat

The registered seat of the Verein shall be in the Canton of Zug, Switzerland. The Verein shall be entered into the Commercial Register of the Canton of Zug upon reaching statutory thresholds, in accordance with Article 61 ZGB. The Board may establish regional chapters or liaison offices in other jurisdictions as deemed necessary by the General Assembly.

Section 1.3 — Purpose

The Verein is a non-commercial, purpose-driven association. Its objectives are:

1. To maintain, evolve, and publish the Prop Trust Verified Standard (PTVS) and its associated technical specifications.
2. To certify and oversee Prop Trust Certified Experts (PTCE) globally, ensuring adherence to forensic, legal, and cryptographic benchmarks.
3. To serve as the neutral governance body for the Forensics Oracle Initiative (PFOI) research mandate.
4. To promote the adoption of deterministic physical verification as a prerequisite for institutional-grade RWA tokenization.
5. To ensure that the standard remains open, auditable, and free from the commercial interests of any single entity.

The Verein shall not engage in commercial audit services, software development, or token issuance. All commercial licensing, software distribution, and operational audit execution shall remain the responsibility of Aurema Group LLC (Delaware, USA) under a separate licensing agreement with the Verein.

Article II — Membership

Section 2.1 — Categories

Membership in the Verein shall be open to qualified individuals and institutions committed to the purpose of the Board. There shall be three categories:

• Founding Members: Individuals or institutions that executed Letters of Intent prior to the formal constitution of the Verein. Founding Members hold permanent voting rights and may serve on the Steering Committee.
• Active Members (PTCE): Sworn judicial experts, forensic engineers, or qualified professionals who have completed the PTVS certification program and maintain active status. Active Members may vote on technical standard revisions.
• Institutional Members: RWA platforms, tokenization protocols, custodians, or financial institutions that adopt the PTVS standard and contribute to its governance. Institutional Members hold advisory voting rights.

Section 2.2 — Admission and Expulsion

Admission requires a written application and approval by a simple majority of the Steering Committee. A member may be expelled for material breach of these Statutes, professional misconduct, or actions that compromise the integrity of the PTVS standard, upon a two-thirds vote of the General Assembly.

Article III — Governance Structure

Section 3.1 — General Assembly

The General Assembly is the supreme governing body of the Verein. It shall convene at least once annually, either in person or by secure electronic means. Each Founding Member and Active Member holds one vote. Institutional Members hold advisory (non-binding) votes.

Section 3.2 — Steering Committee

The Steering Committee is the executive body responsible for the day-to-day governance of the standard. It shall consist of no fewer than three (3) and no more than seven (7) members, elected by the General Assembly for renewable two-year terms. The Steering Committee shall include:

• A Chair (elected from among the Founding Members)
• A Technical Lead (responsible for standard specifications and code repositories)
• A Legal Counsel (responsible for regulatory compliance and jurisdictional alignment)

Section 3.3 — Founder’s Reserved Seat and Veto Right

D. Aurelio Tamarit Blay, as the creator of the PTVS and Lead Researcher of the PFOI, shall hold a permanent seat on the Steering Committee as Founding Chair, with an inalienable veto power over any amendment that would compromise the core forensic, metrological, and judicial integrity principles of the standard (as defined in PTVS v1.0, DOI: 10.5281/zenodo.22401496).

Article IV — Intellectual Property and Licensing

All intellectual property rights related to the PTVS standard, including but not limited to the methodology, scoring matrix, smart contract code (PTVSClaimInjector.sol), SDK libraries, trademarks, and certification marks, shall be initially held by Aurema Group LLC.

Upon the formal constitution of the Swiss Verein, Aurema Group LLC shall execute an irrevocable, royalty-free, perpetual license granting the Verein the right to use, modify, publish, and sublicense the PTVS standard exclusively for non-commercial governance, research, and certification purposes.

Commercial licensing, audit service delivery, and enterprise SDK distribution shall remain under the operational control of Aurema Group LLC, subject to the technical and ethical oversight of the Verein.

Article V — Financial Provisions

The Verein shall be funded through:

• Annual membership dues (amounts determined by the General Assembly)
• Certification and re-certification fees for PTCE candidates
• Grants, donations, and research funding from aligned institutions
• A governance fee levied on commercial license holders (Aurema Group LLC)

All funds shall be used exclusively for the non-profit purposes outlined in Article I, Section 1.3. The Verein shall maintain audited financial records in accordance with Swiss accounting laws.

Article VI — Amendments and Dissolution

Amendments to these Statutes require a two-thirds majority vote of the General Assembly, with the exception of the Founder’s Reserved Seat (Article III, Section 3.3) and the core forensic integrity principles (Article IV), which require the written consent of the Founding Chair.

Dissolution of the Verein requires a three-quarters majority vote. In the event of dissolution, all intellectual property rights shall revert to the Forensics Oracle Initiative’s open-access repository under a Creative Commons Attribution 4.0 International License.

Article VII — Transitional Provisions

Until the formal constitution of the Swiss Verein is completed in Zug, Switzerland, these Statutes shall operate as the Binding Governance Framework of the PTVS Governance Board under the administrative umbrella of the Forensics Oracle Initiative (PFOI).

The formal constitution shall be initiated when a minimum of three (3) Founding Members from at least two (2) different jurisdictions have executed Letters of Intent, or when required by a contractual obligation with an institutional RWA platform, whichever occurs first.
